1. Agreement to Terms

By accessing or using the Beffer platform ("Platform"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you must not use our Platform.

These terms apply to all users of the Platform, including customers seeking quotes and suppliers providing services.

2. Platform Description

Beffer Ltd operates as an intermediary platform that connects customers with verified UK suppliers. We provide:

• A technology platform for quote requests and supplier matching
• Payment processing facilitation through Stripe Connect
• Customer support and dispute resolution assistance
• Quality assurance and supplier verification

Critical: Beffer Ltd is NOT the seller, manufacturer, or provider of products/services listed on the Platform. We are NOT the Merchant of Record (MoR).

3. Merchant of Record (MoR) Structure

3.1 Supplier as MoR

When you accept a quote and place an order through the Platform:

• The supplier is the Merchant of Record, not Beffer Ltd
• Your contract is directly with the supplier
• The supplier is responsible for product quality, delivery, installation, and warranty
• Invoices and receipts will be issued by the supplier
• VAT is charged and remitted by the supplier

3.2 Beffer's Role

Beffer Ltd acts solely as:

• An intermediary platform connecting customers with suppliers
• A payment facilitator (we process payments on behalf of suppliers via Stripe Connect)
• A customer support provider to assist with disputes and issues
• A verification service ensuring supplier quality and compliance

We do NOT manufacture, supply, deliver, install, or warrant any products or services offered through the Platform.

4. Payments

4.1 Payment Processing

• All payments are processed via Stripe Connect using secure bank transfers
• Payment is made to the supplier's Stripe Connect account
• Beffer may deduct a platform fee before remitting funds to the supplier
• We NEVER store your banking details - all payment data is handled by Stripe (PCI-DSS Level 1 compliant)

4.2 Payment Terms

• Payment terms are agreed directly between you and the supplier
• Typical structure: Deposit on order confirmation, balance on delivery/completion
• Refunds and cancellations are subject to the supplier's terms
• Beffer may assist with dispute resolution but is not liable for supplier defaults

5. User Obligations

5.1 Customers

• Provide accurate and complete information in quote requests
• Respond to supplier communications in a timely manner
• Make payments according to agreed terms
• Report any issues or disputes promptly
• Use the Platform in good faith and not for fraudulent purposes

5.2 Suppliers

• Maintain valid insurance, licenses, and certifications
• Provide accurate quotes and honor agreed pricing
• Deliver products/services according to specifications
• Comply with UK laws, building regulations, and industry standards
• Respond to customer enquiries within 24 hours
• Accept Beffer's Merchant of Record structure and payment terms

6. Liability & Warranties

6.1 Platform Warranty

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. While we verify suppliers, we make no guarantees regarding supplier performance, product quality, or service delivery.

6.2 Limitation of Liability

To the maximum extent permitted by law:

• Beffer Ltd is NOT liable for supplier defaults, product defects, or service failures
• We are NOT liable for indirect, consequential, or punitive damages
• Our total liability is limited to the platform fees paid by you (if any)
• Nothing excludes liability for death/personal injury caused by negligence or fraud

Your contract is with the supplier. For product/service issues, contact the supplier directly. We will assist with dispute resolution where possible.

7. Disputes & Resolution

• If you have an issue with a supplier, contact them first
• If unresolved, contact Beffer support at hello@beffer.co.uk or 0333 444 1098
• We'll mediate disputes but cannot override supplier decisions
• For payment disputes, Stripe's dispute resolution process applies
• Legal disputes are subject to English law and UK jurisdiction

8. Intellectual Property

All content, trademarks, logos, and intellectual property on the Platform are owned by Beffer Ltd or licensed to us. You may not reproduce, distribute, or modify any content without written permission.

9. Termination

We reserve the right to suspend or terminate your access to the Platform at any time for:

• Breach of these Terms & Conditions
• Fraudulent or abusive behavior
• Non-payment or repeated payment defaults
• Legal or regulatory requirements

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
